This transactional experiential course teaches students how to negotiate basic business contracts such as commercial leases, loan agreements, and junk bond indentures. After studying principles of contract interpretation and negotiation, students engage in four or more negotiating projects – including bilateral and multilateral negotiations. For each project, students prepare a written analysis proposing strategic and tactical objectives and then implement their plans in actual negotiating sessions and drafting exercises.
