Contract Drafting uses familiar contract concepts such as representations, warranties, covenants and conditions, and teaches students how to draft for the particular type of contract concept.  Students learn contract structure and design: how to analyze and understand the various parts that make up a contract, the role of each, and how they work together.   Students begin by using precedent and move to independent drafting, when appropriate. The course emphasizes understanding the business goals and needs of the client and advancing those goals through contract drafting while taking into account client position and leverage.  The class is a skills based course which uses drafting homework and in-class exercises to practice and hone skills.  Students are graded on class participation and 4-5 graded assignments.

Students may take either this course or Law 751 Transactional Skills, but not both.
